Parties and Scope

On one side is KEYDAL, providing the service; on the other, the natural or legal person using it (the “Customer”). Where a separate service agreement has been signed, its provisions prevail in the event of a conflict.

Service Description

KEYDAL provides software licensing, managed hosting, cloud servers and technical support for news publishing. The scope of the service, according to the package chosen, is set out on the pricing page.

Account and Security

  • The Customer is responsible for keeping account details confidential and for actions taken under the account.
  • Two-factor authentication is mandatory for accounts with admin rights.
  • We must be notified immediately if unauthorised access is suspected.

Pricing and Payment

  • The software fee is one-off and the licence is perpetual.
  • The technical support and managed hosting fee is charged monthly.
  • Prices are shown excluding VAT; the current rate is itemised on the invoice.
  • If payment is late, the service may be suspended 7 days after written notice.
  • If you withdraw within the first 30 days, the full amount paid is refunded.

Rules of Use

Using the service for the following purposes is prohibited:

  • Publishing content contrary to applicable legislation,
  • Infringing the intellectual property or personal rights of third parties,
  • Distributing malware, collecting data without consent or attacking systems,
  • Abusing server resources in a way that affects other customers,
  • Sending bulk email without consent.

Content Responsibility

The Customer is solely responsible for the lawfulness of the news, images, comments and other content they publish. KEYDAL is under no obligation to review content in advance; however, it applies the procedures required by law in respect of content notified as unlawful.

Intellectual Property

The source code, design and brand of the software belong to KEYDAL. The licence granted to the Customer is non-transferable, may not be sub-licensed and is valid only for the domain specified in the contract. Content produced by the Customer belongs to the Customer.

Service Level

An annual availability target of 99.9% applies. Planned maintenance is announced at least 48 hours in advance and carried out during low-traffic hours. In months that fall below the target, a proportionate service credit is granted on request.

Suspension and Termination

The service may be suspended in cases of serious breach of the acceptable use rules, failure to meet payment obligations, or circumstances threatening system security. The Customer may terminate the monthly service at any time; their data is then kept available for export for 30 days.

Limitation of Liability

KEYDAL’s liability is limited to the total monthly service fees collected from the Customer in the 12 months preceding the date of the event. Liability for indirect damages, loss of profit and loss of data is excluded, without prejudice to the degree of fault.

Force Majeure

In cases of natural disaster, war, epidemic, general strike, widespread outages originating from infrastructure providers and similar unforeseeable events, performance of obligations is suspended until the impediment is removed.

Changes

Material changes to these terms are notified by email at least 30 days in advance. Continuing to use the service after such notice constitutes acceptance of the changes.

Governing Law and Jurisdiction

Bu koşullara Türkiye Cumhuriyeti hukuku uygulanır. Uyuşmazlıklarda Trabzon Mahkemeleri ve İcra Daireleri yetkilidir.
